1. Acceptance of Terms

By creating an account or accessing the Winter Holding platform ("Platform"), you agree to be bound by these Terms & Conditions and all applicable laws and regulations. If you do not agree, you must not use the Platform.

2. Eligibility & Account Access

Access to the Platform is restricted to authorised personnel, contractors, investors, and partners of Winter Holding and its portfolio entities. Account requests are subject to review and approval. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

3. Confidentiality

All information, documents, financial data, cap tables, organisational data, and communications accessed through the Platform are strictly confidential. You agree not to copy, share, publish, or disclose any such information to any third party without the prior written consent of Winter Holding.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful or unauthorised purpose;
• Attempt to gain access to data or systems beyond your assigned permissions;
• Upload malicious code, attempt to disrupt service, or circumvent security controls;
• Misrepresent your identity, role, or affiliation.

5. Data & Privacy

We process personal and business data in accordance with our Privacy Policy and applicable data protection laws. By using the Platform, you consent to such processing for the purposes of operating, securing, and improving the Platform.

6. Intellectual Property

All content, software, branding, and materials on the Platform are the property of Winter Holding or its licensors and are protected by intellectual-property laws. No rights are granted to you except the limited right to use the Platform as expressly permitted.

7. Termination

Winter Holding may suspend or terminate your access at any time, with or without notice, for any breach of these Terms or for any legitimate business reason. Upon termination, your obligations of confidentiality and lawful use continue to apply.

8. Disclaimers & Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Winter Holding shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which Winter Holding is incorporated, without regard to its conflict-of-law principles.
